These Terms & Conditions ("Terms") are a binding agreement between you and [Registered legal entity name. E.g. Gold Souq FZ-LLC] (trade licence [Trade licence no.], [Registered address, Emirate, United Arab Emirates]), which operates the Gold Souq website and related pages, tools and services (together, the "Service"). Please read them carefully.

1. Acceptance of these Terms

By accessing or using the Service you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter into a contract to use the Service. If you use it on behalf of a business, you confirm you are authorised to bind that business to these Terms.

3. What Gold Souq is (and is not)

Gold Souq is an information and directory service. It publishes indicative market rates, lists third-party jewellers, and offers reference tools. Gold Souq is NOT a bank, dealer, broker, exchange, financial adviser or investment adviser. It does not buy, sell, value, hold or trade gold, bullion, currency or any financial product, and nothing on the Service is an offer, solicitation, recommendation or advice to buy or sell anything.

4. Rates and market information

Gold, bullion, and currency figures are provided for general reference only. They are sourced from third parties, may be delayed, incomplete or inaccurate, and can change at any time. They are indicative and must not be relied upon for any transaction, trading or investment decision. You are solely responsible for verifying any figure directly with a licensed jeweller, bank or exchange before acting on it. To the maximum extent permitted by law, Gold Souq gives no warranty as to accuracy, timeliness or fitness of any figure and accepts no liability for reliance on it.

5. The directory and third-party businesses

Directory listings describe independent third-party businesses. Any verification badge reflects a limited check of trade licence and contact details at the time of listing only; it is not an endorsement, guarantee or certification of a business, its products, prices, stock, quality, hallmarking or conduct. Gold Souq is not a party to, and is not responsible for, any dealing, transaction, dispute or communication between you and a listed business. You deal with listed businesses entirely at your own risk.

6. Reviews and user-submitted content

If you submit a review, enquiry, or other content, you confirm it is true, your own, lawful, and not defamatory, misleading or infringing. You grant Gold Souq a non-exclusive, royalty-free, worldwide licence to host, display, adapt and distribute that content in connection with the Service. Reviews reflect the opinions of their authors, not of Gold Souq. We may moderate, decline, edit or remove any content at our discretion, but we are not obliged to monitor it and are not responsible for user content.

7. Calculators and tools

The price calculator and related tools produce automated estimates from the figures you enter and the indicative rates described above. They do not account for making charges, taxes, fees, purity or a business’s own pricing. Every result is a guide only, not a quotation, valuation or offer.

8. Business and vendor accounts

Where a business is given access to manage its own listing, it is responsible for the accuracy, legality and licensing of everything it submits, for keeping its credentials secure, and for all activity under its account. We may suspend or remove any account or listing that breaches these Terms or applicable law.

9. Acceptable use

You agree not to:

• copy, scrape, harvest or republish the rates, directory or other content in bulk without written permission;
• disrupt, probe, overload or attempt unauthorised access to the Service or its systems;
• submit false, misleading, unlawful, infringing or harmful content, or malware;
• use the Service for money laundering, fraud, or any unlawful purpose.

10. Intellectual property

The Gold Souq name, brand, design, layout, compilation and original content are owned by or licensed to us and are protected by law. Business names, logos and marks shown in the directory remain the property of their respective owners. You receive no rights other than to use the Service as permitted here.

11. Third-party links and content

The Service may link to or display third-party websites, data and content. We do not control and are not responsible for them, and a link is not an endorsement.

12. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any warranty of accuracy, availability, merchantability, fitness for a particular purpose or non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or secure.

13. Limitation of liability

To the maximum extent permitted by law, Gold Souq, its owners, staff and suppliers will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, data, goodwill or opportunity, arising from or connected with your use of (or inability to use) the Service, the rates, the directory, reviews, tools, or any dealing with a listed business, whether based in contract, tort, statute or otherwise, even if advised of the possibility. Where liability cannot lawfully be excluded, our total aggregate liability is limited to AED 500 (five hundred UAE dirhams). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnity

You agree to indemnify and hold harmless Gold Souq and its owners and staff from any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms, your content, or your unlawful or improper use of the Service.

15. Privacy

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.

16. Changes and availability

We may change, suspend or withdraw the Service or any part of it, and may update these Terms, at any time. Changes take effect when posted here with a new date above. Your continued use after a change means you accept the revised Terms.

17. Suspension and termination

We may restrict, suspend or terminate your access to the Service at any time if you breach these Terms or applicable law, without notice and without liability.

18. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, United Arab Emirates, and the courts of the Emirate of Dubai, United Arab Emirates have exclusive jurisdiction over any dispute, without regard to conflict-of-laws rules.

19. General

If any provision is found unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver of it. You may not assign these Terms; we may assign them to a successor. These Terms are the entire agreement between you and us about the Service. In case of any conflict between the English and Arabic versions, the English version prevails.
